1. Acceptance of terms
By accessing our website, creating an account, or commissioning a build, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you are using the services on behalf of an organization, you represent that you are authorized to bind that organization.
2. Our services
Delz designs, builds, deploys and operates AI agents and automations on behalf of customers. Customers do not self-assemble agents; our team builds and maintains them with you. Services may include connecting agents to messaging channels (such as WhatsApp, Telegram, Messenger, email, voice/SMS and web chat) and to third-party tools you authorize. The specific scope, deliverables and fees are set out in your order, statement of work, or build agreement.
3. Eligibility & accounts
You must be at least the age of majority in your jurisdiction and able to form a binding contract. You are responsible for keeping your account credentials secure and for all activity under your account. Notify us promptly of any unauthorized use.
4. Your responsibilities
- Provide accurate information and the access we need to build and run your agents.
- Obtain all necessary consents from your end users before we message or process their data — including opt-in consent required by messaging platforms.
- Comply with the rules of every channel and integration you use, including the Meta Platform Terms, WhatsApp Business Messaging Policy and Developer Policies.
- Ensure your use of agents and the content they send complies with applicable laws (including privacy, marketing, consumer-protection and anti-spam laws).
5. Acceptable use
You agree not to use our services to: send spam or unsolicited messages; harass, deceive or harm others; infringe intellectual property; transmit malware; violate platform policies; or engage in unlawful, fraudulent or abusive activity. We may suspend or limit services that violate this section or put our platform partners at risk.
6. Third-party platforms & integrations
Our services interoperate with third-party platforms, including Meta technologies. Your use of those platforms is subject to their own terms, and we are not responsible for their availability, changes or actions. If a platform suspends or changes access, the affected functionality may be limited.
7. Fees & payment
Fees, billing frequency and usage limits are described in your order or on our pricing page and may change with notice. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and due per the agreed schedule. Late or failed payments may result in suspension.
8. Intellectual property
We retain all rights in our platform, software, models, templates and know-how. You retain ownership of your data and your content. Subject to payment, you receive a non-exclusive right to use the agents we operate for you for your internal business purposes. You grant us the rights needed to host and process your data to deliver the services.
9. Confidentiality
Each party will protect the other's confidential information and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or required to be disclosed by law.
10. Disclaimers
Our services are provided "as is" and "as available." AI systems can produce errors or unexpected output; you are responsible for reviewing agent actions and configuring appropriate approval gates. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data. Our aggregate liability arising out of or related to the services will not exceed the amounts you paid us in the 12 months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold Delz harmless from claims arising out of your content, your end users, your breach of these Terms, or your violation of law or third-party platform policies.
13. Term & termination
These Terms apply while you use our services. Either party may terminate as set out in your order or for material breach not cured within a reasonable period. On termination, your right to use the services ends, and we will return or delete your data in line with our Privacy Policy and applicable law.
14. Governing law
These Terms are governed by the laws of [your jurisdiction], without regard to conflict-of-laws rules. The courts located in [your jurisdiction] will have exclusive jurisdiction, unless applicable law requires otherwise.
